The mission statement of the Association of institutions of adult education in the Slovak Republic




Article 1

Name, address and nature of the association

  1. The full name of this civic association is: Asociácia inštitúcií vzdelávania dospelých v Slovenskej republike - the Association of institutions of adult education in the Slovak Republic (hereinafter referred to as the Association).
  2. The headquarters of the Association of the Vazovova 7 / A, 811 07 Bratislava.
  3. The scope of operation of the Association is the Slovak Republic.
  4. The association is a non-governmental, apolitical and voluntary organization, established in accordance with Law No. 83/90 Zb. 83/90 Coll. o združovaní občanov – about association of citizens, as amended.
 
Article 2
Mission of the Association
  1. The mission of the Association is to associate institutions and individuals, which deal with continuing education of adults and to promote their common interests in accordance with needs of Slovakia;
  2. Aims of the Association are:
a) to ensure the professional growth of its members and improvement of their services thus to contribute to improving quality of adult education,
b) to submit proposals and to cooperate with public/state authorities in the preparation and implementation of legislative, organizational and financial measures in the field of adult education,
c) to cooperate purposefully with similar domestic and international institutions, to coordinate collaboration and support the dissemination of information, to exchange knowledge and experience,
d) to support the production of new, up-to-date educational programs and their compatibility with international standards,
e) to organize educational events aimed at raising the quality of education,
f) to support the process of certification of its members in cooperation with partners,
g) to pursue editorial and publishing activities on a national level, publish periodicals and non- periodical publications including own magazine and promote up-to-date knowledge,
h) to represent its members and their activities in international organizations.

Article 3
Membership
 
  1. Member of the Association may become an institution in which scope is adult education, institution, facility or department of adult education, which agree with this mission statement and is commitment to fulfil it.
  2. The institution (or individual) requests the membership by a written application, as defined by the Executive Committee.
  3. Member of the Association may be also individuals who agree with the programme of the Association and the wish to actively work (scientists, experts, representatives of partner organizations, etc.)..
  4. The adoption of a new member is decided by the Executive committee of the Association no later than two months from the filing of the application.
  5. Membership lapse by:
    1. written notification of the member
    2. the dissolution/ termination of a member institution,
    3. by the written abolition of the membership by the Association because of repeated failure of member’s obligations, or for his conduct which is inconsistent with the mission or the statutes and other official documents of the Association,
    4. the termination of the Association.
 
Article 4

Rights and obligations of members

  1. Member of the Association shall be entitled to:
    1. to vote and be elected to the committees/ authorities of the Association,
    2. submit proposals and suggestions for the work of the Association,
    3. submit comments and complaints to the authorities Association,
    4. turn to the competent authorities of the Association with a request for assistance in dealing with professional and scientific problems,
    5. to inform about activities of his/her institution in publications and magazine of the Association.
  2. Member is required to:
    1. to participate in the activities of the Association, to act in accordance with its mission and objectives, protect and promote its interests and reputation,
    2. comply with the statutes, code of ethics and other documents Association,
    3. pay in due time membership fees.
 
Article 5
Member fees
  1. The amount of membership fees proposed by the Executive Committee of Association approves the General Assembly.
 
Article 6

Organizational Structure

  1. The bodies/authorities of the Association are:
    1. General Assembly
    2. The audit committee
    3. The Executive Committee
  1. The term of office of elected bodies lasts two years, when the General Assembly decides otherwise.
  2. The General Assembly and the Executive Committee are validly, if their meeting is attended by more than half of their members. Decisions are valid if they are supported by more than half of the members present.
 
Article 7
General Assembly
  1. The General Assembly is the supreme body of the Association of the Association. The meeting of the General Assembly is called by the Executive committee at least once a year, or at the request of at least one third of members.
  2. The General Assembly shall decide on all matters of the Association arising from the mission, status and follow-up documents:
    1. approves in particular:
      • programming documents, plans and budget of the Association,
      • report on the activities of the Association,
      • Mission statement of the Association, the electoral rules and changes in those documents,
      • rules on the financial management of the Association and the Audit committee report about the results of management
    2. appoints and dismiss the Executive committee and the Audit committee,
    3. approves the internal, organizational or regional division of the Association.
 
Article 8

The Executive Committee of Association

  1. The Executive Committee consists of nine members elected by the General Assembly. The General Assembly can increase or decrease the number of members of the Executive Committee. Executive Committee reports to the General Assembly.
  2. The Executive Committee directs the activities of the Association between meetings of the General Assembly. Performs the following tasks:
    1. ensures that the decisions the General Assembly agenda and plan of action, including the Association of Financial and material security, submitted to the General Assembly on its activities and proposals for action
    2. approve contracts, agreements and proposals for cooperation
    3. accepts new members and decide about the membership
    4. appointed the Secretary of the Association, which provides the secretariat for the Association,
    5. acts as an employer of employees of Secretariat under the general rules.
  3. The Executive Committee shall elect from among its members a president and two vice-presidents of the Association.
  4. The President is the legal representative of the Association and is authorized to act on behalf of the Association in all matters. The President has, in particular, the authority:
    1. convene meetings of the Executive Committee,
    2. submit to the meeting of the Executive Committee the necessary materials,
    3. negotiating with partners and coordinate with the rest of the world,
    4. is entitled to act independently in the technical and organizational, personnel and economic matters.
  5. Vice-presidents are within the scope set out the by the Executive Committee also legal representatives. The Executive Committee provides them additional rights and obligations.
  6. The Executive Committee is authorized to establish working groups, permanent commission and other ancillary professional groups.
 
Article 9
The Audit Committee
  1. The General Assembly elects the audit committee with three members, which is to review and inspect in accordance with generally binding regulations and internal management of the Association.
  2. Of its members elect Audit Committee the President of the Audit Committee, which convened a meeting of the audit committee.
  3. The audit committee shall check the management of the Association and, if necessary, immediately forward its findings to the Executive Committee. However, it is not subordinate to the Executive Committee.
  4. On the meeting of the General Assembly is the Audit Committee preparing a comprehensive report on the management of the Association.
 
Article 10

Permanent commissions and working groups

  1. The Executive Committee, if necessary, may establish permanent or special sections or working groups to address specific problems. These groups do not have decision-making power and on behalf of the Association can act only within the framework of its mandate given by the Executive Committee.
  2. Its proposals and the results submit to the Executive Committee.
 
Article 11

The management of the Association

  1. The Association manage its property and financial resources according to:
    1. general binding rules,
    2. according to the principles of management, approved by the General Assembly,
    3. the budget approved by the General Assembly.
 
  1. The financial resources of the Association are:
    1. registration and membership fees,
    2. revenue from its own educational events and from publishing,
    3. other resources (contributions from foundations, grants, gifts and contributions from the implementation of EU projects, etc.)..
 
Article 12
Final provisions
  1. Termination of the Association:
    1. the General Assembly may terminate the Association by two-thirds majority of members present,
    2. in this case the General Assembly also decide about assets of the Association. If it fails to do so, the general rules on termination and disposal of the organization are valid.
  2. These mission statement/statutes come into force on the date of registration by the relevant administrative authorities and are effective by their approval by the General Assembly of the Association.
  3. This mission statement was approved by the General Assembly on 18. March 2004. This cease former valid mission statement registered by the Ministry of the Interior on 28 April 1997 under no. VVS/1-900/90-3799-1.
